These Terms of Service (the “Terms”) govern your access to and use of the public website of MeteoAct LLC (“MeteoAct”, “we”, “us”), located at meteoact.com and its subdomains (the “Site”). By accessing or using the Site, you acknowledge these Terms and agree to be bound by them to the extent permitted by applicable law. If you do not agree, do not use the Site.

1. Signed agreements control

MeteoAct supplies data products and services to customers under written agreements (each a “Signed Agreement”). If you or your organization has a Signed Agreement with MeteoAct, that Signed Agreement governs the products, data, and services it describes. If there is a conflict between these Terms and a Signed Agreement, the Signed Agreement controls. These Terms govern only your use of the public Site and do not modify, supplement, or supersede any Signed Agreement.

2. About MeteoAct

MeteoAct LLC is a Pennsylvania limited liability company. MeteoAct develops weather tracking and risk prediction software that generates probabilistic forecasts and risk quantification data.

The Site and its content — including MeteoAct’s software, models, algorithms, analyses, visualizations, graphics, text, branding, and other proprietary materials — are owned by MeteoAct or its licensors, except for materials owned by third parties or in the public domain. Nothing in these Terms grants you any right, title, or interest in MeteoAct’s software, algorithms, models, methodologies, data products, trademarks, or other intellectual property.

5. Informational purposes only

The public Site is for general information, education, and demonstration only. Forecasts, probability assessments, risk estimates, maps, and other analytics shown on the public Site are illustrative unless expressly stated otherwise. Weather and its impacts cannot be predicted with certainty. Actual conditions can be materially different from forecasts or estimates. Do not rely on content from the public Site as the sole basis for safety-critical, operational, insurance, financial, or other consequential decisions. You are responsible for your decisions. Nothing on the public Site constitutes legal, insurance, financial, engineering, emergency-management, or other professional advice. Products, data, forecasts, and services provided under a Signed Agreement are governed by that agreement.

6. No warranty

We supply the Site “as is” and “as available”. To the maximum extent that applicable law permits, we make no warranty of any kind, express or implied, about the Site or its content. This includes warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, reliability, and completeness. We do not warrant that the Site will operate without interruption or errors.

7. Limitation of liability

To the maximum extent that applicable law permits: (a) MeteoAct and its officers, employees, agents, licensors, and affiliates are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages that arise out of or relate to the Site; and (b) MeteoAct’s aggregate liability arising out of or relating to the Site or these Terms shall not exceed one hundred US dollars (US $100) for all claims collectively. This section does not limit liability that applicable law does not permit a party to limit. This section does not change the liability terms of a Signed Agreement, which govern the products and services that the Signed Agreement describes.

Our Privacy Policy describes how we collect, use, and handle information in connection with the Site.

9. Third-party links and services

The Site can contain links to third-party websites or services. We do not control them and we are not responsible for them.

10. Changes to the Site and these Terms

We can change or stop the Site, or a part of it, at any time. We can change these Terms at any time. When we change these Terms, we will publish the new version on this page with a new effective date. If you use the Site after a change, you accept the changed Terms.

11. Governing law

The laws of the Commonwealth of Pennsylvania govern these Terms, without regard to its conflicts of law principles. The state and federal courts located in Philadelphia, Pennsylvania have exclusive jurisdiction over disputes that arise out of or relate to these Terms or the Site, and you consent to the personal jurisdiction and venue of those courts.

12. General

Your use of the Site does not create an advisory, fiduciary, partnership, employment, or agency relationship between you and MeteoAct. Subject to Section 1 (Signed agreements control), these Terms are the entire agreement between you and MeteoAct about your use of the public Site. If a court holds that a provision of these Terms is not enforceable, the other provisions stay in effect. If we do not enforce a provision of these Terms, this is not a waiver of that provision.
